Terms of Use
Valta Terms of Use
Last updated: [DATE]
These Terms of Use (the "Terms") apply when you use valta.co.nz and our related services (the "Platform"). The Platform is run by Valta Limited ("Valta", "we", "us"), a New Zealand company based in Auckland. Part A applies to everyone. Part B also applies if you list a property or buy a listing or package from us. If Part A and Part B conflict, Part B applies. Our Privacy Policy and Cookie Policy explain how we handle personal information and cookies.
In short
Valta is a listings platform, not a real estate agency. You deal directly with the listing agent or private vendor.
Listing information comes from agents and vendors. Check it yourself before you rely on it.
Vault listings are confidential. Don't share, copy or screenshot them.
Nothing in these Terms takes away your rights under New Zealand consumer law.
Part A — General Terms
A1. Using the Platform
A1.1 By using the Platform, creating an account or applying for Vault access, you agree to these Terms. If you act for a business or another person, you confirm you can bind them.
A1.2 You must be 18 or over to create an account, send an enquiry or apply for Vault access. Accounts are personal and can't be shared. Keep your login secure and tell us at privacy@valta.co.nz if you think it's been misused. You can close your account at any time.
A2. Valta is not a real estate agent
A2.1 We are not a licensed real estate agency. We don't act for any vendor or buyer, and we don't appraise, negotiate, hold deposits or take part in any sale. Each property is marketed by the licensed agent named on the listing, or by its owner as a private vendor. Any transaction, and any dispute about it, is between you and the other parties.
A2.2 Private vendors aren't covered by the Real Estate Agents Act 2008, so the Real Estate Authority can't deal with complaints about them. Get your own legal advice before making an offer.
A2.3 Content such as our Journal articles and pages about investing or visas is general information only, not legal, financial, tax, immigration or investment advice.
A3. Listing information
A3.1 Listings are provided by agents and vendors. We don't check or guarantee that any listing information is accurate or complete, including price, title, areas, consents, condition or availability. Images may be edited or virtually staged.
A3.2 We may use AI tools to help prepare content such as descriptions and summaries. AI-assisted content may contain errors.
A3.3 Before relying on anything, inspect the property, check the information yourself and get independent advice. Prices are in NZD. We may change, hide or remove any listing at any time.
A4. Enquiries
A4.1 When you send an enquiry, we pass your name, contact details and message to the listing agent or, for a private listing, the vendor. They then handle it under their own obligations. We don't share your buyer profile or Vault viewing history with them.
A4.2 Buyers don't pay to use the Platform. We're paid by listers for listings and packages, and we don't act for you or the vendor. We can't guarantee that anyone will reply to your enquiry. Only send genuine enquiries.
A5. The Vault
A5.1 The Vault is where we show off-market listings to approved members. To apply, you must give us the identity and anti-money-laundering information we ask for, and agree to us verifying it as our Privacy Policy describes. A person at Valta decides each application. We may approve, decline, limit, suspend or remove access at any time, without giving reasons. You either have Vault access or you don't. We may introduce different access levels later, with notice.
A5.2 Everything you see or receive through the Vault is confidential ("Vault Information"). You must not:
share or discuss Vault Information with anyone, unless we or the listing agent (or private vendor) agree in writing;
copy, download, screenshot, photograph, record or forward it;
let anyone else use your access;
use it for anything other than considering buying that property; or
contact a vendor, occupier or neighbour of a Vault property directly. Deal only with the listing agent, or with a private vendor through an enquiry on the Platform.
A5.3 If you breach A5.2, we may remove your access and close your account immediately. We, and where the law allows the vendor or agent, may also seek an injunction, damages and any other remedy. Tell us straight away if you know of any disclosure. These obligations continue after your access ends.
A5.4 Vault listings may change or be withdrawn without notice. A3 applies to them too.
A6. Overseas users
A6.1 If you use the Platform from overseas, you must comply with your local laws. Under the Overseas Investment Act 2005, many overseas people can't buy residential land in New Zealand without consent or an exemption. Get advice from a New Zealand lawyer before you make an offer.
A7. Acceptable use
A7.1 You must use the Platform lawfully and honestly. You must not, or help anyone else to:
scrape, crawl, copy, mine or compile Platform content or data, by automated tools or by hand, or use it to build a database or competing service;
use Platform content to train, test or improve any AI or machine-learning system;
get around or interfere with any security, access control or Vault control, or access Vault listings you're not approved for;
try to identify anyone from aggregated or de-identified data;
collect other users' details, send spam, give false information or pretend to be someone else;
post anything unlawful, misleading, defamatory or infringing; or
introduce malicious code or disrupt the Platform.
A7.2 Search engines may index public pages under our robots.txt instructions. Any other automated access needs our written permission.
A8. Intellectual property and data
A8.1 We or our licensors own the Platform, its content and the Valta brand. You may use the Platform only for your own non-commercial purposes under these Terms. Listers also have the rights in Part B.
A8.2 If you send us content, you keep ownership of it. You give us a non-exclusive, worldwide, royalty-free licence to use it to run and promote the Platform, and confirm you're entitled to give us that licence. We may use your feedback freely.
A8.3 We own the aggregated and de-identified data and insights we create from use of the Platform. Our Privacy Policy explains how we handle personal information used to create them.
A9. Your consumer rights and our liability
A9.1 If you're a consumer, you have rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 and other laws that can't be excluded. Nothing in these Terms limits those rights. Overseas consumers keep any mandatory rights under their local law.
A9.2 The Platform is provided "as is" and may not always be available or error-free. To the extent the law allows, and subject to A9.1:
we're not liable for loss caused by relying on listing information, AI-assisted content or other Platform content, or by your dealings with agents, vendors or other users;
we're not liable for indirect or consequential loss, or for lost profits, opportunity, data or goodwill; and
our total liability for all claims is limited to the greater of the fees you paid us in the 12 months before the claim and NZ$100.
A9.3 To the extent the law allows, you'll cover our reasonable losses and costs caused by your breach of A5 or A7, or by content you submit that infringes anyone's rights, except to the extent we caused them. Nothing in these Terms limits liability for fraud, or anything that can't lawfully be limited.
A10. Suspension and closure
A10.1 We may suspend, restrict or close your account if we reasonably believe you've breached these Terms, to protect users, vendors or the Platform, for security or AML reasons, if the law requires it, or if the account has been inactive for a long time. Where reasonable, we'll tell you why. A5, A7, A8, A9 and A12 continue after your account ends.
A11. Privacy and changes
A11.1 Our Privacy Policy and Cookie Policy explain how we handle personal information and cookies. We'll only send you marketing emails if you agree, and you can unsubscribe at any time.
A11.2 We may change the Platform at any time. We may update these Terms by posting a new version. For material changes, we'll give at least 14 days' notice by email or on the Platform, unless a change is needed sooner for legal or security reasons. If you keep using the Platform after a change takes effect, you accept it.
A12. Law and general
A12.1 New Zealand law governs these Terms. The New Zealand courts, including the Disputes Tribunal where it applies, have exclusive jurisdiction, except where a consumer has a mandatory right to bring proceedings in their own country. We may seek an injunction anywhere to protect Vault Information or our intellectual property.
A12.2 These Terms, together with any order you place, are the whole agreement between us about the Platform. If any part is unenforceable, the rest still applies. If we delay enforcing a right, we don't give it up. You can't transfer your rights. We may transfer ours to a buyer of our business, as long as your rights aren't reduced. We're not liable for events beyond our reasonable control. Vendors and listing agents may enforce A5 under Part 2, subpart 1 of the Contract and Commercial Law Act 2017. Otherwise, only you and we have rights under these Terms.
Part B — Listing on Valta
B1. All listers
B1.1 Who this applies to. Part B applies to anyone who lists a property or buys a listing or package from us (a "lister"). B2 also applies to licensed real estate agents and agencies, and to anyone else listing in trade ("agents"). B3 also applies to owners selling their own property without an agent, not in trade ("private vendors"). You accept Part B when you create a lister account, submit a listing or make a purchase. An agency is responsible for everyone who uses its account.
B1.2 Listings. You warrant that each listing is for a real property that is actually for sale, and that all listing information is accurate, complete, current and not misleading. Images must fairly show the property as it is now. Clearly disclose any virtual staging or AI editing that changes how the property looks. You must update a listing promptly when anything material changes, and mark it sold or withdrawn within 5 working days.
B1.3 Our rights. We may format, edit, decline, suspend or remove a listing if we reasonably believe it breaches these Terms or the law, or if the vendor or a regulator asks us to. We may also archive or remove a listing that is sold or withdrawn, that you haven't corrected after we've asked, or that has been inactive for 12 months and that you don't confirm is still for sale within 10 working days of our notice.
B1.4 Vault listings. Before listing a property in the Vault, you must make sure every owner has given informed consent to confidential marketing through the Vault. You must keep the listing confidential and update the Platform if you start marketing it publicly. We decide who gets Vault access. Our verification is for our own purposes and doesn't replace your own legal obligations or checks. You won't see members' identities, profiles or viewing history, only the enquiries they choose to send.
B1.5 Content licence. You keep ownership of your photos, floor plans, copy and other listing content. You give us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, copy, adapt, display and distribute it on the Platform, in our emails and on social media, and in marketing the listing and Valta. The licence lasts while the listing is live and for a reasonable archive period afterwards. We won't publish Vault content outside the Vault without your agreement. You warrant that you have all the rights needed to give us this licence, including from photographers and anyone identifiable in the content. If we use AI to help prepare content for your listing, we'll let you review it before it's published, but you remain responsible for its accuracy.
B1.6 Personal information. If you give us personal information about vendors, co-owners, occupants, staff or anyone else, you warrant that you're authorised to do so. You must tell those people that their information has been given to Valta and where to find our Privacy Policy (information privacy principle 3A).
B1.7 Enquiries. We pass enquiries to the agent named on the listing or, for a private listing, to the private vendor. We don't guarantee any number of enquiries, views or sales. You may use enquiry information only to respond to that person and deal with them about the property (and, for agents, other properties they're interested in), and to meet your legal obligations. You must not add them to marketing lists without consent under the Unsolicited Electronic Messages Act 2007, or sell or share their information. You must keep it secure and tell us promptly about any privacy breach involving it. Don't try to identify anyone from aggregated insights we give you. You may use those insights only for your own internal purposes, and must keep them confidential.
B1.8 Fees. The listing fee is NZ$1,850 + GST per property. It's a one-off fee and covers a listing either on-market or in the Vault. The listing stays live for as long as you want, with no fixed period, renewal or automatic renewal. Add-on packages are priced at the time of purchase. Prices exclude GST unless stated. We'll give you a tax invoice. We invoice or charge the listing fee only when your listing goes live, so nothing is charged before then. Card payments are processed by Stripe. We may change our fees with 30 days' notice. Changes don't affect listings already live or packages already paid for. If an amount is overdue, we may suspend your listings until it's paid and recover reasonable collection costs. Tell us about any disputed charge within 10 working days.
B1.9 Refunds. Once a listing goes live, the listing fee is non-refundable, including if the property sells, you withdraw it, or we archive or remove it under B1.3 or because you've breached these Terms. However:
if we remove your listing within 30 days of it going live, for a reason you didn't cause, we'll refund the fee in full;
if we can't deliver part of a package, we'll refund that part; and
nothing here affects any refund you're entitled to by law.
B1.10 Suspension, termination and changes. You can close your lister account at any time. We can end Part B for you with 30 days' notice. We can suspend or end it immediately if you seriously breach these Terms, or don't fix a breach within 10 working days. We can also do so if a required licence lapses, if we doubt your authority to list, if you don't pay, if we have AML or fraud concerns, or if the law requires it. Your listings will then be removed, and fees owed remain payable. We may change Part B with 30 days' notice. If you don't agree, you can close your account before the change takes effect.
B2. Agents and agencies
B2.1 Licence and conduct. You warrant that you, and everyone doing real estate agency work on your listings, are licensed under the Real Estate Agents Act 2008. You must comply with that Act, the Professional Conduct and Client Care Rules 2012 and the Fair Trading Act 1986. Tell us straight away if a licence is suspended, cancelled or made subject to conditions.
B2.2 Vendor authority. Before listing a property, you must hold the vendor's written authority to market it on the Platform, including in the Vault if you list it there.
B2.3 AML. You remain responsible for your own obligations under the AML/CFT Act 2009. You must cooperate with our reasonable requests for information. We may decline or remove listings, or limit access, if we have AML, sanctions or fraud concerns.
B2.4 In trade: no consumer guarantees. You're acquiring our services for the purposes of a business, in trade. To the extent permitted by section 43 of the Consumer Guarantees Act 1993 and section 5D of the Fair Trading Act 1986, you agree that the Consumer Guarantees Act doesn't apply to our services, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act don't apply to anything we do under these Terms. We're both in trade, and you've had the chance to read these Terms and get advice, so you agree this is fair and reasonable.
B2.5 Liability and indemnity. A9.2 applies, and we're also not liable for loss of commission. You'll cover our losses and costs (including reasonable legal costs) arising from your listing content, your breach of these Terms or any law, or any dispute between you and a vendor or buyer, except to the extent we caused them.
B3. Private vendors
B3.1 Ownership and authority. You warrant that you're the registered owner of the property, or are authorised to sell and list it by all its registered owners, and that every co-owner has agreed to the listing. We may ask for evidence of ownership and authority, such as a record of title and photo ID, and may decline or remove a listing if you can't provide it.
B3.2 We're not your agent. We don't value your property, advise you, negotiate, prepare agreements or hold deposits. You're responsible for meeting the legal obligations that apply to you as a seller, including not misleading buyers and disclosing what the law requires. We recommend that you get legal advice and a LIM before you list.
B3.3 Your consumer rights. If you're buying our services for your own property and not in trade, your rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 apply in full. B2.4 doesn't apply to you, and you have the same liability protections as other consumers under A9. If you're selling in trade (for example, as a developer), contact us before listing.
B3.4 Buyers' information. Enquiries come to you directly. You must use buyers' information lawfully and only to sell that property, keep it secure, share it only with your advisers, and delete it when you no longer need it. If you list in the Vault, our checks on members don't replace any of your obligations, and aren't a guarantee of a buyer's identity or ability to buy.
